Corporate Counsel (Hybrid Austin/San Antonio)

Rackspace is looking for a Corporate Counsel to support its corporate, securities, governance, compliance and M&A functions. The successful candidate will be a key member of the global legal department, with opportunities to partner with a variety of functions across the global organization. The successful candidate will report to the Vice President, Deputy General Counsel. Qualified remote candidates may be considered; however, candidates physically located in Central Texas, including San Antonio, Austin and the surrounding areas, are preferred.

Responsibilities

    • Support and manage the Company’s compliance programs and corresponding policies training, including code of conduct, anti-bribery, export controls, antiboycott, antitrust and similar.
    • Prepare, review and maintain various corporate governance policies, including corporate governance guidelines, code of conduct, insider trading policies (including 10b5-1 plans and stock ownership guidelines compliance), disclosure of company information, conflicts of interest and similar.
    • Oversee entity integrations and eliminations, both domestic and international.
    • Maintain domestic entities in good standing and compliance with state filings.
    • Assist with corporate governance initiatives at the public company and subsidiary levels, including maintaining articles of incorporation, bylaws, committee charters and other corporate governance documents and policies.
    • Provide support for the Company’s ESG-related initiatives and drafting related disclosures.
    • Assist with support for all phases of the Company’s initiatives related to mergers and acquisitions, strategic alliances, financing transactions (debt and equity) and other complex commercial transactions.
    • Support HR function with advice on executive and director compensation, equity incentive plan matters and related securities matters.
    • Provide advice and counsel to senior management on the Company’s compliance with applicable securities laws, Nasdaq rules and regulations, Sarbanes Oxley, Dodd-Frank and other regulations impacting publicly traded companies with global operations.
    • Provide support in connection with the preparation of all SEC filings required under the ’34 Act, including 10-K, 10-Qs, Proxy Statement, 8-Ks, Section 16 reports (including Forms 3, 4 and 5), as well as ’33 Act filings.
    • Collaborate with the finance, treasury, investor relations and corporate communications teams to ensure accurate and timely disclosure of material information to investors and the public.
    • Assist with efforts to support the Company’s Board of Directors, including preparation, distribution and collection of the Company’s D&O questionnaires.
    • Help manage all aspects of the Company’s annual meeting of stockholders.
    • Rackspace has a collaborative legal team across the globe. We expect there to be opportunities to become involved in other assignments and collaborate with team members in other legal functions for projects as needs arise.

    • Ability to build strong relationships with internal and external clients and legal stakeholders, act as a trusted partner and business enabler, with a willingness to challenge when required.
    • Excellent time management and organizational skills with the ability to multi task and handle a varied workload
    • Ability to work effectively in a lean environment.
    • Strong proficiency with Microsoft Office applications.
    • Experience using the Workiva platform is a bonus!

Education and Experience

    • JD degree with strong academic background.
    • Active bar admission (Texas preferred).
    • 2-4 years of relevant legal experience.
    • Experience in the technology sector (previous in-house experience is a bonus).
    • Some experience with securities laws and applicable compliance laws, as well as a basic understanding of Delaware General Corporation Law – is preferred.
